Terms of Service

These Terms of Service ("Terms") govern your use of https://moontech.studio and any development services provided by Moon Tech ("we", "us", or "our"). By engaging our services or using this website, you agree to these Terms.
1. Services
Moon Tech provides custom digital product development services including websites, iOS applications, Android applications, and desktop applications. The specific deliverables, timelines, and payment terms for each engagement are agreed upon separately in a written project agreement or statement of work ("SOW") between Moon Tech and the client.
Our model: we may build an initial demonstration of your digital product before a formal agreement is in place. Viewing or receiving this demonstration does not obligate you to purchase, and does not transfer any intellectual property rights to you until a paid agreement is executed.
2. Payment
Payment terms are defined in each project's SOW. Generally:
- A deposit (typically 50%) is required before development commences.
- The remaining balance is due upon project completion and before final delivery.
- Invoices unpaid beyond 14 days of the due date may incur a late fee of 1.5% per month.
- All prices are quoted in the currency specified in the SOW. Currency conversion costs are borne by the client.
3. Intellectual Property
A. Upon Full Payment
Once all outstanding invoices for a project are paid in full, Moon Tech assigns to the client full ownership of the custom code and design assets created specifically for that project.
B. Third-Party Components
Projects may incorporate open-source libraries, licensed fonts, stock assets, or third-party APIs. The client receives the right to use these components subject to their respective licences, which Moon Tech will disclose upon request. Ownership of these components is not transferred.
C. Prior to Full Payment
All work product, including demonstration builds, remains the intellectual property ofMoon Tech until payment is received in full. Unauthorised use, reproduction, or distribution of unreleased work is prohibited.
4. Client Responsibilities
To enable timely delivery, clients agree to:
- Provide all required content, assets, credentials, and feedback within agreed timeframes.
- Designate a single point of contact with authority to approve deliverables.
- Notify Moon Tech promptly of any changes to project scope. Scope changes may affect timelines and cost.
5. Revisions and Scope Changes
Each project SOW will specify the number of revision rounds included. Requests that materially alter the agreed scope — including new features, redesigns, or platform additions — will be quoted separately and require written approval before work begins.
6. Confidentiality
Both parties agree to keep confidential any proprietary business information, technical specifications, or trade secrets shared during the engagement. This obligation survives the termination of any project agreement for a period of two (2) years.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Moon Tech's total liability for any claim arising out of or relating to these Terms or any project agreement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
Moon Tech is not liable for indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.
8. Warranties and Disclaimer
Moon Tech warrants that services will be performed with reasonable skill and care, and that delivered work will materially conform to the agreed SOW at the time of delivery.
Beyond this, the website and any pre-engagement demonstrations are provided "as is" without warranty of any kind. Moon Tech does not warrant that the website will be error-free or uninterrupted.
9. Termination
Either party may terminate a project agreement with 14 days' written notice. Upon termination:
- The client is liable for payment of all work completed up to the termination date, calculated on a pro-rata basis.
- Moon Tech will deliver all completed work product upon receipt of outstanding payment.
10. Governing Law
These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada, unless otherwise agreed in writing.
11. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page reflects the most recent revision. Continued use of our website or services following any update constitutes your acceptance of the revised Terms.
